Phase 1

Getting to know each other

We start with a simple introduction — no agenda, no pressure, nothing sensitive. We'll share who we are, what we look for, and what working with us looks like. You share as much or as little about your business as you're comfortable with at this stage.

If there's mutual interest, we continue with as many conversations as needed — at your pace, with the right people involved on both sides.

Phase 2

Exploring the opportunity together

With mutual interest established, we work through the business in more depth — together with your team and any advisors, brokers, or investment bankers involved. We sign an NDA before anything sensitive is shared.

Through this process we develop a preliminary valuation, align on deal structure, and — if the opportunity fits our investment model — issue a Letter of Intent.

Brokers and investment bankers are welcome at every stage. Direct sellers are treated the same as represented ones.

Phase 3

Due diligence and closing

Once the LOI is accepted, we move into focused due diligence. We come prepared with a tight checklist, a real team, and respect for your time. Subject to a smooth diligence process, we expect to close within 90 days.

You can slow down, pause, or ask questions at any point. We move at the pace you're comfortable with.

Before founding Nok, Joseph spent 15 years at the intersection of technology and business growth — leading acquisitions and commercial strategy at IBM, Dell, and AWS. At IBM's Corporate Development team, he was directly involved in over 20 acquisitions of founder-led software and technology companies, helping each one transition into a larger organization without losing what made them special.

He knows what it feels like to be on both sides of a deal — and he built Nok because he believed there was a better way to work with the founders and families who built great businesses in the lower middle market.

Joseph holds an MBA in Strategy & Finance from Carnegie Mellon's Tepper School of Business.
